By clicking on the "I AGREE" link below, you agree to be bound by the following terms and conditions. Therefore, please read this entire Agreement carefully.

PublishersPipeline.com, with offices at 13357 N. Manzanita Lane, Fountain Hills, AZ 85268 ("PublishersPipeline") and You (also referred to herein as "Your"), in consideration of the terms and conditions herein, hereby agree to the following:

1. Summary of the Program - The PublishersPipeline Affiliate Program (the "Program") is designed to provide You the opportunity to display the PublishersPipeline hyperlinks, banners, or buttons (collectively referred to as "Links") on Your website or newsletter and earn commissions on all purchases of each New Visitor referred to the PublishersPipeline website by Your Links.

2. Definitions - New Visitor - A " New Visitor" is any person or entity who has come to the PublishersPipeline.com website and cannot be identified by cookie, email address and/or other means, at the sole discretion of PublishersPipeline, to have previously visited the website.

3. Permission to Use PublishersPipeline Links - PublishersPipeline hereby grants You permission to use Links provided by PublishersPipeline subject to Your compliance with the Link Guidelines below and all other terms and conditions set forth.

4. Link Guidelines -

A. Required Link - The Links must always link to the URL provided You by PublishersPipeline and You are solely responsible for insuring that they function properly.

B. No Alteration - If you use Links provided by PublishersPipeline, the Links must not be altered in any way.

C. Positive Presentation and Circulation - You must use the Links in a positive and proper manner. The Links may not be used or presented in a way that could reflect adversely on PublishersPipeline or its products, infringes upon intellectual property or other rights of PublishersPipeline, or violates any state, federal, or international law. You will be solely responsible for any claims, costs, and damages as a result of a violation of this Paragraph.

5. Changes - PublishersPipeline reserves the right to change this Agreement, including without limitation, the Links Guidelines and the Compensation solely at its discretion. PublishersPipeline will provide ten (10) days notice via email of any such changes. If You do not agree with these changes, You may terminate this Agreement on ten (10) days notice via email to PublishersPipeline.

6. Compensation and Payment - PublishersPipeline will pay You commissions on sales of all items, net of returns and for which PublishersPipeline receives payment, from the PublishersPipeline website to New Visitors that are identified by PublishersPipeline as having become New Visitors due to Your Links according to the following schedule:

• Items with Product Code beginning with the letter "A" : $5.00 per item.
  
  
• Items with Product Code beginning with the letter "B": $4.00 per item.
  
  
• Items with Product Code beginning with the letter "C": $3.00 per item.
  
  
• Items with Product Code beginning with the letter "D": $2.00 per item.

Approximately 30 days following the end of each month, PublishersPipeline will send you a check for all commissions earned by you for said month. However, if the commissions payable to You for any month are less than $50.00, we will hold these commissions until the total amount payable to You is greater than or equal to $50.00 or (if earlier) until this Agreement is terminated. Any attempt by You to falsely inflate sales revenue at the PublishersPipeline website is grounds for PublishersPipeline to terminate this Agreement.

7. On-Line Ordering and Collection - PublishersPipeline shall make reasonable efforts to maintain the availability of on-line ordering, payment and New Visitor identification via the PublishersPipeline website. However, You acknowledge that periodic computer, computer software, and network failures are unavoidable and thus will not hold PublishersPipeline liable for damages or losses incurred as a result of such failure.

8. Taxes - You are responsible for the payment of all taxes related to the commissions You earn under this Agreement.

9. Ownership and Property Rights - Except for the limited permission granted herein, this Agreement shall not operate as a transfer to You of any rights in or to any of PublishersPipeline's trademarks and logos. PublishersPipeline reserves the right in its sole discretion to terminate or modify permission to use, create, and circulate Links at any time. You acknowledge that PublishersPipeline's trademarks and logos are and shall remain the exclusive property of PublishersPipeline or the exclusive third party owner, and all use by You shall inure solely to the benefit of PublishersPipeline or such third party owner, as applicable. PublishersPipeline reserves the right to take action against any use that does not conform to this Agreement, infringes any PublishersPipeline intellectual property or other right, or violates any applicable law.

10. Term and Termination - This Agreement shall continue until terminated by either party. Either party may terminate this Agreement upon ten (10) days notice via email to the other, at which time all rights and obligations of the parties granted herein shall cease. PublishersPipeline reserves the right to immediately terminate this Agreement via email notice if:

• You do not follow the Links Guidelines or otherwise breach this Agreement, as determined solely by PublishersPipeline's sole judgment or
• You attempt to falsely inflate sales revenue at the PublishersPipeline Web site or
• You spam people.

11. No Warranty - PublishersPipeline disclaims any warranties that may be expressed or implied including, but not limited to, warranties regarding Links and/ or methods of use or circulation. PublishersPipeline will not be liable for any incidental, consequential, or special damages of any kind, whether based on contract, tort, termination of this Agreement or any other legal theory, and regardless of whether it has been advised of the possibility of any such damages. You will be solely liable for any damages or penalties of any kind resulting from Your circulation of Links, whether they are of our creation or of Your own, and you indemnify and hold PublishersPipeline harmless against any and all such claims.

12. Miscellaneous - The parties hereto are independent contractors. This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona. This Agreement sets forth the entire understanding of the parties with respect to the subject matter hereof, and supersedes any prior agreements or understandings of the parties, both written and oral, which may have existed between the parties with respect to the subject matter hereof.
